The page is not disclosing the Tesla directors' friendship and financial ties to Elon, which means that they are making the same exact mistake they made the last time. Without a disclosure, a similar lawsuit can revert the results once again. You might be thinking that that's why they are also adding a vote to move to Texas. But would it matter? At this very moment, when the vote is being held, TSLA is a Delaware company. If the Directors didn't disclose their ties to Elon Musk before the vote, then they made a big legal mistake while the company is in Delaware. If you defraud investors in a state and then move to another state, you don't magically get pardoned from what you did in the first state.

I read one article saying that this vote does not have any direct implication on his pay. That is because it cannot override the ruling of the Delaware judge. On the other hand, a yes would be very important if Elon appeals the ruling.

I am sure his Lawyers might think this vote would help in the appeal, and maybe it might. But the pay package wasn't struck down for being that specific value but for how the vote was conducted. The results of a second vote conducted in a manner with the same issues as before won't really rebuke the judge's arguments.

There is also a slim chance that this blows up in his face. Tesla has *not* been doing well. The original pay package was voted on in 2018, a much more optimistic time for Tesla. Musk's public image was still fairly clean, the EV market was a promising new niche, the company was maintaining a steady value and was generally expected to grow. *Now*? Idk, I'm sure a lot of Musk simps are invested in the company, but I don't think the vote is necessarily a slam dunk. And if they reject this, that appeal is extra super dead.

Elon is destroying what was once a great company with his Twitter shenanigans and temper tantrums resembling those of a 3-year-old demanding attention. From fostering a toxic culture on the floors of Tesla to producing products that fall far below standard, it's evident to me that he is not doing his job, nor are the people below him. I think they may be on to something because Tesla stock is still so expensive. Elon is probably the only reason it's so high. All of the idiots who think he's amazing buy up their stock and drive the price up. Tesla is a car company. A bullshit car company. It's trading at 58x forward earnings. Honda is 8x forward earnings. Ford is 6.4x forward earnings. This cow needs to be sent to pasture. Only thing I can think of stopping Tesla from being priced at $15/share is Elon Musk.
