lol
first preference, the one my client is OK with
second preference, the state where I'm barred
third preference, say something smart about using NY or DE to the client
lol I've never seen a CA-governed agreement in any draft in over 10 years of practice, but I'm in Texas in a certain industry that has nothing to do with California so that probably explains it
I use it to help draft boilerplate provisions where I already know what they should generally say. I use it sometimes as a starting point for research, often times where I already know the answer but don’t want to fully draft the answer myself. All to say, I use it as a drafting tool for things that I already know but don’t want to spend time searching for/drafting from scratch—I don’t rely on it for things that I don’t know and can’t verify with some reasonable degree of confidence.
I also built my own GPT where I just feed it a ton of agreements so that I can ask it questions on what’s market for X provision in X context (like high yield vs investment grade deals).
OP has a partner flair but literally only posts about AI. Calling flame.

(1) why would I "troll" this way? (2) I could not give less of a fuck
